Agreement for using our missed-call text-back service

In Simple Terms

We set up and operate an automated SMS reply system that texts your customers back when they call your business and you miss it. You pay a setup fee and a monthly service fee. Cancel anytime with 30 days notice.

1. Agreement to Terms

By using the South Louisiana Automation ("SLA," "we," "us") missed-call text-back service ("Service"), you ("Client") agree to these Terms of Service ("Terms"). If you do not agree, please do not use our Service.

2. Service Description

Our Service is an automated SMS reply system for local businesses. When a customer calls your business and the call goes unanswered (rings out, busy, or unreachable), our system:

  • Sends an automated SMS reply to the caller from a phone number assigned to your business
  • Sends a missed-call alert to your designated mobile number
  • Routes the caller's reply messages back to your designated mobile number
  • Maintains delivery records and basic analytics for your account

The Service includes provisioning of a Twilio phone number, SMS carrier compliance registration (A2P 10DLC), workflow setup, and ongoing operational support.

3. Payment and Pricing

Pricing Structure

  • One-time setup fee, due before the Service is activated
  • Monthly service fee, billed in advance each month
  • Specific pricing is documented in your service agreement
  • No long-term contracts — cancel anytime with 30 days notice

What's Included in the Monthly Fee

  • Dedicated business phone number for SMS replies
  • Automated SMS replies to missed calls (up to fair-use limits)
  • Missed-call alerts to the business owner
  • Ongoing operational monitoring and support
  • Carrier compliance maintenance

Fair Use

The monthly fee covers a reasonable volume of automated messages for a typical small-business client. Excessive volume (substantially above the volume of a normal local service business) may result in additional usage charges, which we will discuss with you before applying.

4. Refund Policy

Setup Fee

  • Full refund available if Service has not yet been activated
  • Once your dedicated phone number is provisioned and the workflow is live, the setup fee is non-refundable
  • Refunds processed within 5–10 business days

Monthly Fee

  • No refund for the current billing period after the period begins
  • Service continues through the end of the paid period after cancellation notice
  • Cancel anytime with 30 days notice — no cancellation fees

5. Client Responsibilities

Setup and Configuration

  • Provide accurate business information for Service setup and SMS carrier registration
  • Configure conditional call forwarding on your existing business phone to the number we provide
  • Provide a working mobile number to receive missed-call alerts
  • Notify us of any changes to your business name, contact info, or services

Acceptable Use

  • Use the Service only to respond to legitimate inbound business calls
  • Do not use the Service to send marketing or promotional messages
  • Do not use the Service for any unlawful, harassing, or fraudulent purpose
  • Honor any opt-out requests received through the Service
  • Comply with applicable laws including the TCPA, CAN-SPAM, and FCC and CTIA guidelines

Phone Number

The dedicated phone number provisioned for your Service is registered to SLA on your behalf for the duration of your Service. If you cancel, the number is released. We can discuss porting the number to your own account if you require this at the time of cancellation.

6. Our Responsibilities

Service Delivery

  • Activate your Service within 7 business days of receiving setup information and carrier approval
  • Maintain 99%+ uptime for the SMS reply workflow
  • Handle carrier compliance, A2P 10DLC registration, and ongoing regulatory maintenance
  • Keep your account data secure and backed up

Support

  • Respond to support requests within 24 hours on business days
  • Notify you of any service disruptions affecting your account
  • Provide monthly delivery summaries on request

7. Service Availability

We strive to maintain 99%+ uptime, but cannot guarantee uninterrupted service due to:

  • Third-party carrier outages (Twilio, T-Mobile, AT&T, Verizon)
  • Internet connectivity issues
  • Planned maintenance (with advance notice when possible)
  • Force majeure events (hurricanes, natural disasters, etc.)

8. Data and Privacy

  • You own all data related to your business and your customers' interactions with your account
  • We may use aggregated, anonymized data to improve our Service
  • We do not sell or share customer phone numbers or SMS content for marketing purposes

  • You are responsible for complying with applicable privacy and communications laws as they apply to your business

9. Limitation of Liability

Important: Please read this section carefully.

Our total liability is limited to the amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not responsible for:

  • Lost business opportunities, lost revenue, or lost profits
  • Indirect, consequential, incidental, or punitive damages
  • Issues caused by third-party services (SMS carriers, internet providers, mobile networks)
  • Customer service issues between you and your end customers
  • Business losses due to service downtime or message delivery delays
  • Any TCPA, CAN-SPAM, or similar claims arising from how you use the Service or messages you direct us to send on your behalf

10. Termination

By You

You may cancel the Service at any time by providing 30 days written notice. Service continues through the end of the notice period. Upon termination, the dedicated phone number is released and the workflow is deactivated.

By Us

We may terminate or suspend the Service if you:

  • Violate these Terms of Service
  • Use the Service for unlawful, fraudulent, or unauthorized marketing purposes
  • Fail to pay invoices within 30 days of the due date
  • Engage in abusive behavior toward our staff
  • Cause repeated carrier compliance violations

11. Changes to Service

We may update the Service to add features, improve reliability, or comply with legal or carrier requirements. We will notify you in advance of significant changes that affect how your Service operates.

12. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Lafourche Parish, Louisiana.
